These terms govern your participation in Course Hero’s Educator Exchange program. If you enroll in the program and meet the eligibility criteria, you can receive revenue when paying subscribers unlock (access) content you created and shared on Course Hero. By enrolling in the program, you agree to these terms.  

Your participation in the Educator Exchange program constitutes use of the Course Hero Service and as such, Course Hero's Terms of Use, Copyright Policy, Academic Integrity and Honor Code continue to apply to you. For simplicity, these Educator Exchange terms, Terms of Use, Copyright Policy, Academic Integrity and Honor Code are collectively referred to herein as “Course Hero Terms & Policies.” Capitalized terms that are not defined in these Educator Exchange terms have the meaning given to them in the Terms of Use.

Please read these Educator Exchange terms carefully. If you don’t understand them or don’t agree to any part of them, then you should not enroll in the Educator Exchange program.

PLEASE BE ADVISED: These terms contain provisions that govern how claims that you and Course Hero have against each other can be brought. These provisions will, with limited exception, require that you submit claims you have against Course Hero to binding and final arbitration on an individual basis, not as a plaintiff or class member in any class, group or representative action or proceeding.

Eligibility Requirements. To be eligible to enroll in the Educator Exchange program, you must: (1) be a post-secondary faculty member or administrator in the United States or Canada and (2) have a verified educator account on Course Hero. Eligibility requirements are subject to change.  

Earning on Your Content. You will receive revenue for each document you share on Course Hero based on user engagement with your document. Examples of user engagement include:when someone subscribes to Course Hero to unlock (access) your document and when an existing Course Hero paying subscriber unlocks your document. Course Hero may, in its discretion, consider additional factors. Course Hero will pay you a portion of revenues, as determined by Course Hero. Course Hero reserves the right to modify when and how revenue is earned.

Your Responsibilities for Your Content. You will only receive revenue on your content if it complies with Course Hero’s Terms & Policies. For avoidance of doubt, these include Course Hero's Terms of Use, Copyright Policy, Academic Integrity and Honor Code. For example, you are responsible for ensuring that your content does not infringe or violate the intellectual property rights or any other rights of a third party (including Course Hero) or other Applicable Law. If you fail to comply with any of Course Hero’s Terms & Policies, the consequences include withholding or forfeiting revenue, suspension or termination from the Educator Exchange program, and suspension or termination of your Course Hero account.  

Payment of Revenue Earned.  

Payment of revenue, if any, will be made in US dollars.  

To receive payment, you must: (1) be a verified educator in good standing with Course Hero (in “good standing” means you are not violating or have not violated Course Hero Terms & Policies); (2) have an active Course Hero account, and (3) have a PayPal account linked to your Educator Exchange account. Course Hero does not owe you any revenue during any period when you are not in good standing, nor will Course Hero make payment on revenue earned until you connect your PayPal account to your Educator Exchange account.

Payments are processed by PayPal in accordance with PayPal’s terms of service and privacy policy. Course Hero may share transaction information (namely, the amount of payment due) with PayPal, but not credit card information, which you provide to PayPal directly.

Once you connect your PayPal account and have earned a minimum threshold of $20 USD, you will be paid monthly on the 10th day of the following month, Pacific Standard Time, so long as you claim your earnings on your Educator Exchange account.  

If you terminate your participation in or are removed from the Educator Exchange program, Course Hero will disburse payment to you up to and through the date of termination, regardless of the minimum payout threshold.

Taxes. Course Hero will not withhold any taxes from your earnings or report your income to the Internal Revenue Service or relevant government agency in your jurisdiction. You are responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your earnings from the Educator Exchange program. If you are a Canadian resident and earn $500 Canadian dollars or more, you will be required to provide us with additional personal information for tax purposes. The personal information you provide will be processed in accordance with our Privacy Policy.

Termination. Course Hero reserves the right in its sole discretion to terminate your eligibility to earn or receive revenue under the Educator Exchange program, suspend your participation, or terminate your participation at any time for any reason, including the failure to meet the requirements in section 1 (Eligibility Requirements) or violation of section 3 (Your Responsibilities for Your Content). You can terminate your participation in the program at any time by notifying us in writing at educator-exchange@coursehero.com. If your participation is terminated for any reason, you can no longer earn or receive revenue.

Discontinuation of Educator Exchange. Course Hero reserves the right to modify, suspend, or discontinue the Educator Exchange program. Course Hero will not be liable to you or any third party for any such modification, suspension, or termination.

Indemnity. You agree to indemnify and hold Course Hero, its affiliates, officers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third-party claims relating your violation of these Educator Exchange terms. In the event of such a claim, suit, or action (“Claim”), if you have an account, we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

Limitations of Liability. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL COURSE HERO (OR ITS LICENSORS OR SUPPLIERS) BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, OR (B) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE GREATER OF (I) $100 OR (II) THE AMOUNTS PAID BY YOU TO COURSE HERO IN CONNECTION WITH THE SERVICES IN THE TWELVE (12) MONTH PERIOD PRECEDING THIS APPLICABLE CLAIM, OR (C) ANY MATTER BEYOND OUR REASONABLE CONTROL. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.

Choice of Law; Arbitration. These Educator Exchange terms are governed by and will be construed under the laws of the State of California, without regard to the conflicts of laws provisions thereof. Any dispute arising from or relating to the subject matter of these terms (whether brought against Course Hero or against any director, officer or employee of Course Hero in their personal capacity) shall be finally settled in San Francisco County, California, in English, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with such Rules. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction. ANY ARBITRATION UNDER THESE TERMS WILL TAKE PLACE ON AN INDIVIDUAL BASIS: CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED. YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND COURSE HERO ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION. Notwithstanding the foregoing obligation to arbitrate disputes, each party shall have the right to pursue injunctive or other equitable relief at any time, from any court of competent jurisdiction. For all purposes of these terms, you and Course Hero consent to exclusive jurisdiction and venue in the state or federal courts located in, respectively, San Mateo County, California, or the Northern District of California.

Modification of Terms. Course Hero reserves the right to modify these terms at any time, but if we do make material modifications, we will bring it to your attention by sending you a notification on your Course Hero account, by sending you an email and/or by some other means. If you do not agree to the amendments or to any of the terms, your only remedy is to terminate your participation in the Educator Exchange program in accordance with section 6 (Termination).

Privacy. You acknowledge that you have read Course Hero’s Privacy Policy, which describes how your personal information will be processed, including our sharing of your email address with PayPal for purposes of payment under these Educator Exchange terms.

Assignment. You may not assign, delegate or transfer these Educator Exchange terms or your rights or obligations hereunder without the written consent of Course Hero. We may transfer, assign, or delegate these Educator Exchange terms and our rights and obligations without consent.

No Third-Party Beneficiaries. You and Course Hero agree there are no third-party beneficiaries intended under these Educator Exchange terms.

Survival of Terms. Provisions that, by their nature, should survive termination of these terms shall survive termination. By way of example, all of the following will survive termination: any obligation you have to indemnify us, any limitations on our liability, any terms regarding ownership of your content, and terms regarding disputes between us.

Miscellaneous. If any provision of these Educator Exchange terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these terms shall otherwise remain in full force and effect and enforceable. You and Course Hero agree that these term are the complete and exclusive statement of the mutual understanding between you and Course Hero, and that it supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the Educator Exchange program. You hereby acknowledge and agree that you are not an employee, agent, partner or joint venture of Course Hero, and you do not have any authority of any kind to bind Course Hero in any respect whatsoever.
